Our attorneys represent construction clients across the full spectrum of their legal needs. We advise on construction and development projects, corporate transactions, infrastructure issues, financing, contractual and permit issues, and represent clients in litigation when needed. Our multidisciplinary construction practice consists of attorneys with backgrounds in related areas including real estate, project finance and corporate law. Our practice is global, and we have deep experience advising construction industry clients in Latin America and Europe, as well as in the United States. We regularly serve as general counsel to our construction clients.

Selected Experience:

  • Advising on the development of a $168 million, 250,000 square foot San Francisco medical office building under an airspace lease, and construction of an underground parking garage and pedestrian tunnel.
  • Advising on the ground leasing and leaseback of multi-story medical office buildings in Tracy and Roseville, and construction of associated parking structures and reciprocal parking arrangements.
  • Advised the consortium Grupo Vía Central, comprised of Sacyr, NGE, Saceem and Berkes, in the refinancing and additional financing for the construction of the Ferrocarril Central project in Uruguay.
  • Representation of a major US corporation on a wide range of matters related to the acquisition of development rights for construction of an industrial plant and relevant construction permits.
  • Representation of a U.K. building materials company in its acquisition of a U.S. cement plant.
  • Representation of a London-based engineering company that provides installation and control solutions for HVAC systems in the drafting of various commercial agreements.
  • Represented a Peruvian-based multinational infrastructure, energy, engineering and construction, and real estate conglomerate, as borrower, in connection with a $120,000,000 senior secured bridge loan arranged by Banco BTG Pactual S.A.
  • Representation of a major U.S. corporation on the acquisition of development rights, compliance with land use and zoning requirements, construction permits and licenses, and negotiations of the land lease agreement for the purposes of construction of its own manufacturing facility in Eastern Europe.
  • Representation of a U.S. bank in construction loan to borrower for financing of Mexican manufacturing facilities secured by Mexican Guaranteed Trust (fideicomiso).
  • Representation of steel contractor, Acesco Colombia S.A.S., in a sunset review and circumvention investigation in relation to imports of galvanized steel sheets from China (2022-2021).
  • Representation of a Colombian construction company, Matecsa, in an antidumping investigation concerning imports of steel profiles from China (2020-2021).
  • Served as U.S. counsel in connection with multiple financing transactions in Latin America, including a $148 million financing of mining equipment; a $30 million construction to term loan financing involving two cold reserve power plants capable of producing approximately sixty megawatts of electricity; and an $11 million financing of a power plant.
  • Conducted an investigation of a construction company’s operations in India in relation to fraud, kickback, vendor padding and government bribery allegations.
  • Representation of French construction company on the risks which sanitary crisis pose to business operations and providing protocols to be implemented to reduce risk.
  • Representation of a construction products firm regarding its buyout of minority equity owners and succession planning.
  • Representation of a certified steel erector company that specialized in the installation of structural steel, joists and girders in responding to federal criminal charges resulting from the death of an iron worker, allegedly due to OSHA violations.
  • Successfully defended one of the world’s largest manufacturers of agriculture and construction equipment from patent infringement claims.
  • Representation of a lender in connection with a construction-to-term loan facility for a $62.5 million landfill-gas-to-energy facility in California, and the subsequent sale by such lender of a participation interest in the financing.
  • Representation of a Nasdaq-listed construction and infrastructure company in the acquisition of oil and gas pipelines by a newly-created joint venture company.
