Elia El Kouh is an associate at Rimon Law’s Paris law firm, practicing corporate law international trade law, compliance law, as well as litigation and arbitration for French and international clients. Ms. Elia El Kouh supports companies on a regular basis in the internationalization of their businesses.

Her areas of focus are:

  • Commercial contract and distribution law (French, European and international)
  • Unfair commercial practices, product liability and unfair competition
  • Representation of clients in pre-litigation and cross-border litigation, including arbitration, amicable dispute resolution and negotiation of settlement agreements, particularly in the context of termination of commercial relations.
  • Compliance and Business Ethics, including notably the French law on the fight against corruption (also called “Sapin II law”), international economic sanctions and embargoes, the duty of care, export regulations (notably concerning dual-use goods), business ethics rules and certain European and French regulatory obligations applicable in various business sectors as well as matters of corporate environmental, social and governance responsibility (CSR and ESG assessment).

Elia El Kouh completed “classe préparatoire aux frandes écoles” and was named CPGE ENS Cachan D1 in law and economics, before studying business and European law in Paris, as well as international and European law in Budapest, Hungary, for a year. Elia El kouh also graduated with an Advanced Master (MSc) in International Business Law and Management at Essec Business School.

During her previous professional experience in Paris and Morocco, Elia El kouh advised clients on matters relating to contract and commercial law, international criminal and business law, economic law, arbitration and litigation. Ms. El Kouh also has experience serving as in-house counsel for the legal department of a global car manufacturer, where she advised on issues relating to contract law, competition law, distribution and consumer law. In this role, she was particularly involved in advising on the national and European rules governing online commerce and unfair commercial practices against professionals and consumers as well as in the management of pre-litigation with suppliers.

Particularly committed to business ethics, Ms Elia El kouh is a member of the Business and Human Rights Lawyers Association, an association of international business lawyers dedicated to promoting and developing respect for human rights in business activities. Elia El kouh also assists committed associations with their legal needs.

SELECTED EXPERIENCE

  • Advising on the drafting, negotiating and termination of national and international contracts of different natures, such as sales, purchase, distribution, franchise, intermediary (commercial agency, consultant), manufacturing, warehousing, subcontracting, toll-manufacturing, etc., as well as non-disclosure agreements.
  • Advisingon termination of established commercial relationships.
  • Set-up, support and/or restructuring of international distribution and supply networks in various sectors, particularly in the Middle East and Africa.
  • Representation of a Saudi Arabian commercial agent in an international arbitration administered by Paris Mediation and Arbitration Center (CMAP) concerning compliance
  • Representation of a distributor in a conciliation organized by the International Chamber of Commerce of the Paris Commercial Negotiation and drafting of a settlement agreement in English which ended a long-standing and complex international distribution dispute.
  • Application for and obtention of export licenses for Russia from the French Treasury (Direction Générale du Trésor) for a French company of an international group.
  • Advising clients in various business sectors on export regulations for dual-use goods and on European and international economic sanctions (notably against Russia) and preparing training materials on Compliance issues.
  • Analysis of compliance risks, in particular the risk of violating anti-corruption rules when setting up networks of intermediaries internationally, and advice on ethical sourcing issues.
  • Drafting of contractual documents, ethical charters, processes and implementation of preventive mechanisms to reduce compliance risks.
  • Advising clients operating in regulated sectors on applicable European and French standards, laws and regulatory requirements (including safety, health and environmental standards in the food, life sciences and healthcare sectors, automotive batteries, etc.).
  • Representation of clients in cross-border disputes, including aspects of private international law (conflicts of law and jurisdiction, international public policy).
  • Advising French clients accused of unfair competition.
  • Advising a Chinese company on a defective products case involving the EU, UK, US and Canada.
