In a transaction that may have proved that crowdfunding under Regulation A+ is a viable alternative for companies, Rimon Law assisted in handling one of the first investment bank led Regulation A+ NASDAQ listed public offerings. It was also the largest investment banked Regulation A+ listed company raise to date.
ShiftPixy, an HR and Technology solution company focused on the gig economy, went to the market under the new Reg A+ system, which is designed to ease the challenges faced by small cap companies looking to enter the equity marketplace. ShiftPixy raised $12 million in the IPO.
Rimon Law represented lead underwriter W.R. Hambrecht + Co., LLC. Leading the transaction team was Rimon partners Frank Vargas and Jennifer Dasari and associate Michael Vargas. “After many unsuccessful Reg A+ offerings, ShiftPixy and WR Hambrecht +Co proved that Reg A+ can be used as an effective fund-raising tool as originally planned by Congress and its supporters. Companies now have a trail to follow in seeking how to raise capital under Reg A+. We are very proud to have been an integral part of the team that successfully completed the ShiftPixy offering.” said Mr. Vargas.
Rimon attorneys are deeply involved in the crowdfunding market and assisting its clients in navigating this new fund raising avenue for investors, investment banks and companies.
