Our attorneys have decades of experience representing many of the most prominent Japanese companies with all aspects their U.S., international and other cross-border operations, often acting as trusted outside general counsel, and as chief intellectual property counsel.  Our group consists of lawyers who have lived in Japan and who have represented Japanese businesses for many years.

Transactional Experience

Our attorneys have extensive experience advising major Japanese companies and investors with a wide range of transactions in the United States, Europe and Latin America. We advise our clients in connection with investments, financings, mergers and acquisitions, capital markets transactions, U.S. and EU subsidiary formations and corporate reorganizations, U.S. and EU regulatory and compliance issues, government investigations, and other matters. Our experience representing Japanese companies enables us to communicate clearly and effectively to avoid misunderstandings related to differences in the legal systems and practices between Japan and the United States and other nations.

  • Representation of a US/Japan based start-up in connection with the negotiation and drafting of a Series Seed Preferred equity investment, including the share purchase, voting rights, and investor rights agreements, and other related agreements – the transaction had a pre-money valuation of $12.5MM and post valuation of $15.5MM.
  • Representation of the founders of a US/Japan based venture fund an accelerator for life science start-ups. The fund is comprised of a Japan K.K. and WY based LLC.
  • Representation of a Japan-based life sciences company in the negotiation of investment into an early-stage medical device company developing a treatment for eye disease.
  • Representation of a major Japanese chemical manufacturer in connection with review and interpretation of multi-decade joint venture and intellectual property license agreements with a U.S. partner.
  • Representation of a led undisclosed Japanese venture fund investor in $35 million Series B financing of Frequency Therapeutics.
  • Representation of a private equity-backed Japanese pharma client in the acquisition of intellectual property and commercialization rights from innovative companies based in the U.S. and Israel including Merz Pharma, Alpha Tau, Orgenesis, Vessl, and other public and non-public companies.
  • Representation of a major Japanese chemical manufacturer in connection with review and interpretation of multi-decade joint venture and intellectual property license agreements with a U.S. partner.
  • Representation of a led undisclosed Japanese venture fund investor in $35 million Series B financing of Frequency Therapeutics (regenerative therapies) (all IP matters) (2018-19)
  • Representation of a private equity-backed Japanese pharma client in the acquisition of intellectual property and commercialization rights from innovative companies based in the U.S. and Israel including Merz Pharma, Alpha Tau, Orgenesis, Vessl, and other public and non-public companies (2016-19)
  • Representation of a Japanese company on a joint venture for the development of electronic vehicles
  • Representation of a Japanese manufacturer in relation to various nuclear industry investments
  • Representation of a Japan-based leasing company providing equipment financing in the aircraft industry

Intellectual Property

Rimon’s intellectual property team includes IAM top 300 IP strategists, seasoned prosecution patent attorneys and highly skilled patent litigators. Our intellectual property team has years of experience prosecuting patent applications, resolving patent infringement prosecuting patent applications, resolving patent infringement disputes, drafting patent licenses, and trying complex patent cases in U.S. District Courts, the International Trade Commission and the Court of Appeals for the Federal Circuit. They regularly counsel Japanese companies on IP protection and infringement issues related to their entry into the U.S. market, and work with Japanese companies in their acquisition or licensing of patents, trade secrets, trademarks or copyrights from U.S. companies.
