He advises private equity institutions and other forms of financial sponsor, both in the United Kingdom and globally, on a wide range of matters including acquisitions, disposals, “one-stop” financings, co-investments, equity rollover, incentive equity arrangements and restructurings. He has extensive experience with cross-border transactions between the U.S. and Europe.
Steven previously worked at Cadwalader, Wickersham & Taft LLP; Akin Gump Strauss Hauer & Feld LLP; and White & Case LLP. He has secondment experience with Goldman Sachs and Wren House Infrastructure.

- Representation of private placement noteholders in relation to the restructuring of more than US$6 billion of Nordic Aviation Capital’s debt through a chapter 11 plan.
- Representation of Blackstone Credit on their debt and minority equity investment to support iAero Group in a transaction aimed at creating a pan-American aviation business, including the acquisitions of AeroThrust Holdings, LLC and Miami Tech Aircraft Maintenance Inc.
- Representation of IFM Investors on its acquisition of a 40 percent stake in Mersin International Port from the Akfen Group and associated shareholder arrangements between IFM, Akfen and PSA.
- Representation of Antin Infrastructure Partners and Goldman Sachs’ West Street Infrastructure Partners on their acquisition of CityFibre Infrastructure Holdings plc by way of a scheme of arrangement.
- Representation of Ocelot Partners, a special purpose acquisition company established by Liontree Capital, on its acquisition of Ocean Outdoor, a UK outdoor advertising business, from Searchlight Capital Partners and on the subsequent bolt-on acquisition of Forrest Media, a Scottish based outdoor advertising business.
- Representation of Exponent Private Equity on its acquisition of Big Bus Tours (the UK-based global sightseeing operator) and The Leisure Pass Group (an online retailer of composite tourist attraction passes) and on the sale of Gorkana Group (the leading UK media intelligence business).
- Representation of GHO Capital on its acquisition of Quotient Clinical.
- Representation of management on the secondary buyout of Farrow & Ball by Ares Capital.
