Stephen Fang represents institutional investors, investment funds, insurance companies and other institutional lenders in connection with the acquisition of privately placed debt and equity securities and other secured and unsecured financing transactions involving issuers or borrowers located across the globe.

In addition, Stephen’s practice focuses on advising tech businesses, and strategic investors/buyers in relation to M&A and investments in the tech sector. He was most recently the General Counsel at Harrison-AI, one of Australia’s leading healthtech AI companies.

He has over 20 years of experience in the legal and investment industries having worked in Sydney, London, New York and Shanghai for top tier international corporate law firms and also for UK’s largest listed asset manager as its Head of Restructuring (Fixed Income).

He is admitted as a qualified solicitor in both England (2007) and NSW Australia (2005) and regular contributor to LexisNexis.

  • Advising institutional investors in connection with senior and subordinated debt investments in connection with leveraged acquisition transactions
  • Advising institutional investors in connection with senior secured, senior and subordinated bonds in connection with 144a / RegS bond offerings
  • Advising The Federal Government of Australia with respect to its SFSF program and certain investments
  • Advising private placement noteholders of Quinn Group (now called Mannok) on the €1.3 billion debt restructuring of Quinn Group, one of Ireland’s largest manufacturing companies
  • Advising the holders of Kaupthing, Glitnir and Landsbanki of more than US$33 billion in bonds and other debt issued by the three major Icelandic commercial banks, which failed in 2008, in successful negotiations with the Icelandic government and in the restructurings of the failed bank estates under Icelandic law composition agreements
  • Advising leading Australian e-commerce software company on its sale to large US consumer ecommerce platform
  • Advising MyNetZero, a climate tech platform, on acquisition by LiveTiles (ASX: LVT)
  • Advising US acquirer Simpson Strong-Tie on purchase of Australian innovator Klevar
  • Advising global media company Labelium on acquisition of independent Australian media agency, RyanCap
  • Advising an Australia fintech bank guarantee business on its successful $13m Series A raise
  • Advising a consortium of private equity investors in their Series A investment into an Australian fintech business
