Jordan Toone is a M&A and private equity attorney with experience advising companies, private equity and venture capital firms, family offices, strategic and financial buyers, boards of directors, and other stakeholders in domestic and cross-border mergers and acquisitions, private equity and venture capital investments, private offerings and related securities law matters, joint ventures, divestitures and carve-outs, corporate governance, regulatory compliance, and general corporate and commercial matters in multiple industries, including technology and software, cryptocurrency and blockchain technology, retail, manufacturing, life sciences, real estate (all property types), construction and property management, and energy (including renewables). Jordan’s clients include domestic companies engaged in international business and foreign companies with operations in the United States.

Jordan acts as outside general counsel to companies and investors from formation/entrance to exit.

Jordan is involved in several community and pro bono initiatives, including assisting Islamic and other faith-based charitable organizations in the Los Angeles and Salt Lake City areas with various business, real estate, immigration and other legal matters. Prior to joining Rimon, Jordan practiced law as an associate at the international law firm of White & Case LLP and at a leading law firm in Salt Lake City, Utah. Before attending law school, Jordan worked as an embedded civilian social scientist with the U.S. Army’s 1st Armored Division in Iraq, liaising directly with the local Iraqi population in furtherance of various socioeconomic initiatives.

Mr. Toone received his B.A. with University Honors from Brigham Young University and his M.Phil. from the University of Oxford. Jordan earned his J.D. with Highest Honors from the University of Utah S.J. Quinney College of Law, where he was a William H. Leary Scholar, a member of the Jessup International Moot Court Team, a member of the Utah Law Review and a recipient of the Edwin Brown Firmage Student Award in International Law and Human Rights, and was awarded the CALI Award multiple times for obtaining the highest grade in a course as well as several Outstanding Achievement Awards for the best overall performance in a course.

Mr. Toone has been recognized in the 2018-2023 editions of Mountain States Super Lawyers as a “Rising Star” for his work in Mergers & Acquisitions. He has also been recognized in the 2018, 2019, and 2022 editions of Utah Business magazine as one of Utah’s Legal Elite for his work in business & corporate law.

  • Representation of a leading US private equity firm in its portfolio acquisitions, divestitures, fund formation and compliance, and related corporate and commercial matters.
  • Advising several US-based venture capital firms in their various portfolio investments in multiple industries.
  • Assisting several foreign offices of the EY Law network in advising foreign clients in US legal matters.
  • Representation of family offices in deal work and related corporate and commercial matters.
  • Serving as outside general counsel to several startups with respect to early-stage financing, corporate governance, and general legal matters.
  • Advising Asian, European, and Middle Eastern investors in their investment in US businesses, including with respect to structuring, regulatory compliance (e.g., HSR, CFIUS, etc.), and general corporate matters.
