David Choi is a versatile attorney whose practice includes outside general counsel, litigation and trial services. Mr. Choi serves as his clients’ chief legal strategist and is regularly tasked with navigating complex issues in both deals and disputes. Given his thorough understanding of his clients’ strategic business objectives, Mr. Choi crafts and executes effective solutions to achieve those goals.

With a broad background in litigation and transactions, Mr. Choi is well equipped to serve as general counsel to clients, advising them across a full spectrum of legal issues. Mr. Choi draws from extensive experience across an array of industries including technology, real estate, construction, and apparel, having served as counsel to start-ups, public entities, and large corporations.  Mr. Choi also represents investors and businesses in the cannabis industry operating along and aside the supply chain including cultivators, manufacturers, distributors, and retailers of cannabis and cannabis goods and suppliers of commercial hydroponics equipment.

Mr. Choi represents clients operating both in the United States and South Korea and has experience leading teams to advise on cross-border investment and regulatory issues between the United States and South Korea.

Prior to joining Rimon P.C., Mr. Choi led both the Corporate Services and Commercial Litigation practice groups in California for a national law firm with over 400 attorneys.

SELECTED EXPERIENCE

Commercial Litigation

  • Prevailed in a quiet title action for a commercial property after substituting into a matter to overcome a preliminary injunction.
  • Secured a judgment in favor of a real estate investor against a manager who misappropriated and mismanaged real property assets.
  • Obtained a dismissal on a motion to dismiss on behalf of an auditor in a federal class-action securities fraud lawsuit.
  • Successfully prosecuted claims on behalf of investors against management team that mislead investors and mismanaged funds.
  • Successfully prosecuted a construction defect claim on behalf of a public entity against a national contractor.
  • Defended a design professional in a construction defect lawsuit involving an adaptive reuse of an industrial building.

Corporate Law

  • Outside general counsel to digital asset companies involving investments and corporate structure, risk management, and day-to-day operations.
  • Lead counsel for the seller of a hydroponics business in an acquisition involving the stock sale of to a venture funded acquirer.
  • Lead counsel for seller of cannabis cultivator and distributor in an acquisition involving the stock sale to a private business.
  • Represented investors in purchases of commercial real property.
  • Represented landlord and tenants of commercial real property in lease transactions.
  • Represented investors in purchasing equity interests in a licensed cultivation and distribution business.
