Chris is an international tax attorney with thirty years of experience representing U.S. and foreign corporations, partnerships and individuals in their mergers and acquisitions and global tax planning. He has advised clients in an array of industries on the implications of domestic and cross-border investments, mergers, acquisitions, dispositions, reorganizations, financing transactions, securities offerings, and joint ventures with an aggregate value of more than $100 billion. Chris also helps emerging companies achieve liquidity by advising on various transactional alternatives – including strategic debt arrangements, private placements, IPOs, De-SPAC transactions, and reverse mergers – and works to identify the optimal solutions for each company.
He advises on the technical and strategic implications of complex transactions, so clients can achieve their business objectives in the most efficient manner. Chris focuses on identifying strategies that, while tax beneficial, have an appropriate risk profile and advance the company’s key business objectives. Although clients initially seek out Chris for technical advice and transactional leadership, he quickly becomes their trusted advisor on a broad range of legal and strategic subjects because clients know he believes in their vision and is committed to making it a reality. - Structured and implemented hundreds of M&A deals and restructuring transactions in the U.S., Asia, Europe and Latin America
- Advised targets on numerous De-SPAC transactions and reverse mergers, including one that involved cash funding at closing of $1 billion
- Led a Nasdaq direct listing of a technology company with an enterprise stock value of $400 million
- Developed comprehensive global cash management and transfer pricing strategies for several Fortune 100 corporations
- Structured a functional inversion of multinational technology company operating in 40 countries that significantly reduced local tax expense and facilitated the concentration of cash at the U.S. parent level
