Rimon, PC Announces Expansion of Hedge Funds/Private Investment Funds Group

Rimon, PC is pleased to announce the expansion of its Hedge Funds/Private Investment Funds Group by the addition of two new partners, Mark Diamond and Thomas White. The expanded Group provides a wide variety of services to its client base of fund managers, institutional and high net worth investors and financial services companies.

Rimon’s Hedge Funds/Private Investment Funds Group is uniquely positioned to serve its clients’ legal needs with resources devoted to fund formation and structuring, regulatory compliance, trading issues, derivatives, employment and pension plan matters, tax issues and dispute resolution.

Mark Diamond brings over 30 years of experience at major law firms, investment banks and hedge fund managers to Rimon. He comes to the firm from his independent consulting practice, where, for the past eight years, he has focused on providing “outsourced general counsel” services to his fund manager and financial services company client base. Mark continues his focus on providing both fund-related and ongoing legal services to his financial services industry clients and acts as a focal point and senior adviser in the management of his clients’ legal matters. Mark specializes in formation and documentation of all types of investment funds, with a particular emphasis on hedge funds, managed futures funds and real estate funds. He also provides senior-level advice on regulatory and compliance issues related to investment managers (including investment adviser and commodity trading adviser registration and reporting issues), trading issues (including derivatives and other structured products) and general legal matters (e.g., employment matters, real estate transactions and commercial contracts).

Tom White comes to Rimon from Arnstein & Lehr in Chicago, where he was a senior employee benefits partner. Tom has extensive experience providing advice and assistance to both managers of and investors in private investment funds. His practice with the Group focuses on assisting clients with ERISA regulations affecting private funds, including structuring fund operations to preserve exemptions from, or compliance with, the ERISA fund fiduciary requirements. In addition, Tom has assisted in the establishment of investment funds specifically tailored for marketing to pension plan investors. Tom has also helped to establish benefit plans for fund management companies, with attention to compliance with ERISA’s prohibited transaction rules in connection with the investment by client benefit plans in investment funds advised by them.

Robin Powers focuses on financial transactions entered into by hedge funds and other financial institutions, with an emphasis on derivatives, prime brokerage and securities lending agreements. Robin has extensive experience negotiating and documenting International Swaps and Derivatives Association (ISDA) and related structured transaction documentation. She advises clients in their transactional activities relating to a variety of financial products, including credit default swaps, equity derivative transactions, interest rate swaps, asset swaps, total return swaps and currency transactions. Robin has represented clients in a wide range of disputes involving collateral valuation, ISDA events of default and early terminations, secondary loan trading, novations and fund liquidations. Additionally, Robin has experience in fund formations and the documentation of relationships with fund service providers.

Scott Raber supports the Group with his comprehensive litigation expertise. He has represented investors in fraudulent fund schemes and has represented fund managers in complex employment cases, including termination and misappropriation of trade secrets. While Scott focuses on litigation and arbitration, he also regularly counsels clients on a variety of legal and business matters of value to the Group’s fund manager clients, including internal investigations, litigation avoidance, employment separations, employment agreements, restrictive employment covenants, trade secret protection and contract negotiations and performance.
